TerraPhantm. US E36 M3, E36/E46 328, and 330 all have the same gearbox iirc. The 323/325 box should theoretically fit fine, but you'd need a new driveshaft (4-bolt instead of 6) and the gearboxes themselves aren't rated to handle the extra torque. The 330i ZHP option was introduced partway through the 2003 model year. Differences (for 2004 models): -- Slightly modified engine (rated 235 hp instead of 225) -- Different exhuast.
One of the major differences in maintenance is that M3's require valve adjustments. If you are concerned about cash, don't get an e46; BMW parts are generally more expensive than Japanese or American brands. And most non-bmw shops love to stick it to you when you bring a BMW for service.
The driveshaft is not one piece for a reason. The reason is that the space that the driveshaft fits in is dynamic, not static. The distance from the center support to the differential changes, so there is a slip joint so the driveshaft can also change. A one-piece driveshaft is a very common performance upgrade.
